Our attorneys advise international and Ukrainian businesses on all aspects of obtaining merger control clearances from the Antimonopoly Committee of Ukraine. We also regularly advise a diverse range of clients on competition law aspects during the structuring process of mergers and acquisitions, as well as pre-IPO and pre-private placement corporate restructurings. Our attorneys have vast experience in clearing antitrust violations that occurred during the process of groups (holdings) formation in order to bring them in compliance with the Ukrainian antimonopoly law.

Clearance of past violations of antitrust laws
In particular our attorneys provide the following services:
Structuring of M&A deals, per-IPO and pre-private placement group restructurings from antitrust standpoint;
Preparation of concentration and concerted actions applications with the Antimonopoly Committee of Ukraine;
Obtaining of preliminary conclusions, permits or merger clearances;
Drafting of unfair competition complaints;
Representing clients’ interests during Antimonopoly Committee’s competition investigations, including investigations of past violations of antitrust laws of Ukraine;
Representing clients before courts in competition cases, including challenging decisions by the Antimonopoly Committee of Ukraine.
The most significant projects we have worked on previously are listed below:
Representing a leading Ukrainian soft-drinks and low-alcohol drinks producer in the Antimonopoly Committee of Ukraine in connection with obtaining concentration approvals during pre-private placement group restructuring and investigation of group's past violations of antitrust laws of Ukraine;
Advising a leading Ukrainian petroleum stations operator in connection with group restructuring;
Represented a leading Ukrainian real-estate developer in the Antimonopoly Committee of Ukraine in connection with investigation of group's past violations of antitrust laws of Ukraine;
Represented Motorola in obtaining approval of the Antimonopoly Committee of Ukraine for the purchase of Terayon (global company that vended equipment to broadband service providers for delivering broadband voice, video and data services to residential and business subscribers);
Represented Greek financial group Marfin Popular Bank in obtaining approval of the Antimonopoly Committee of Ukraine for the purchase of majority stake in Marine Transport Bank (Ukraine);
Represented Citigroup in obtaining approval of the Antimonopoly Committee of Ukraine for the purchase of stake with rights of control in Karavan group of companies;
Represented Boeing in connection with obtaining concentration approvals of the Antimonopoly Committee of Ukraine;
Represented HKEX listed FMCG group of companies in obtaining approval of the Antimonopoly Committee of Ukraine for the concentration in connection with incorporation of a JV with a leading Ukrainian grain trading company.
